Terms of Service — SQ Interactive
Effective date: 5 November 2026
These Terms govern use of https://sqinteractive.com (the "Site") and, unless a signed proposal or contract says otherwise, services provided by SQ Interactive, Lahore, Pakistan ("SQ", "we"). If a signed proposal/statement of work ("SOW") conflicts with these Terms, the SOW prevails.
1. Use of the Site
You may browse the Site for lawful purposes. Do not misuse it, attempt unauthorised access, scrape it at scale, or submit spam or malicious content through our forms.
2. Services and proposals
Scope, deliverables, timeline, price and currency (PKR or USD/other) are set out in each proposal/SOW. Quotes are valid for [30] days. Work outside the agreed scope is a change request, quoted separately.
3. Payment and milestones
- Projects are billed by milestone as stated in the SOW; typically an upfront deposit (stated in the SOW) before work starts, with remaining milestones due on delivery/acceptance of each milestone.
- Invoices are due within [7] days. We may pause work on overdue accounts.
- Prices exclude taxes, bank/transfer fees and third-party costs (hosting, domains, licences, APIs, plugins, AI/GPU usage, stock assets) unless stated.
- Deposits cover reserved time and are non-refundable once work has started, except as required by law or agreed in the SOW.
4. Acceptance
You have [5] business days after delivery of a milestone to review and report material defects against the agreed scope. If no notice is given, the milestone is accepted.
5. Client responsibilities and client project data
You will provide content, access, feedback and approvals on time, and confirm you have the rights to all material you give us (text, images, logos, panoramas, product data, personal data). We keep your project data confidential, use it only to deliver the services, and return or delete it on request at the end of the engagement, subject to legal retention. Where we process personal data on your behalf, we will sign a data processing agreement on request. You are responsible for your own compliance obligations to your end-users (e.g. your site's privacy notice).
6. Intellectual property and source ownership
- On full payment of all amounts due for a project, ownership of the custom deliverables and custom source code created specifically for you transfers to you, and we will deliver source to your repository (e.g. your GitHub) where agreed.
- Until full payment, we retain ownership and grant a limited licence for review/testing only.
- Pre-existing and third-party materials — our reusable tools, libraries, templates and know-how, and open-source or licensed components (e.g. Three.js, Shopify themes/apps, WordPress plugins) — are not transferred; you receive a non-exclusive, perpetual licence to use our pre-existing materials as part of the deliverables, and third-party items remain under their own licences.
- Unless you opt out in writing, we may show the finished work (without confidential information) in our portfolio.
7. AI-assisted work
We use AI tools in our workflow. We review outputs, but AI-generated content may contain errors, and its legal protection (e.g. copyright) can vary by jurisdiction. You should review content before publishing.
8. Warranties
We will perform services with reasonable skill and care. For [30] days after final acceptance we will fix defects that cause deliverables to not meet the agreed scope, free of charge. Otherwise, the Site and deliverables are provided "as is"; we do not guarantee specific business results, search rankings, traffic or sales, or uninterrupted third-party platforms.
9. Limitation of liability
To the maximum extent permitted by law: (a) we are not liable for indirect, consequential or special losses, lost profits, revenue or data; (b) our total liability for any project is limited to the fees you paid for that project in the [12] months before the claim. Nothing limits liability that cannot be limited by law (e.g. fraud). Mandatory consumer rights in your country are not affected.
10. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the engagement. We will sign a mutual NDA on request.
11. Termination
Either party may end an engagement with [14] days' written notice. You pay for work done and non-cancellable costs up to termination; IP in paid-for work transfers per section 6.
12. Third-party services
Hosting, payment, Shopify, AI and other platforms are governed by their own terms; we are not responsible for their outages, changes or fees.
13. Governing law and disputes
These Terms are governed by the laws of Pakistan. The parties will first try to resolve disputes in good faith within 30 days. Failing that, the courts at Lahore, Pakistan have exclusive jurisdiction.
14. General
If any part is unenforceable, the rest remains in effect. We may update these Terms; the version in force when a SOW is signed applies to that project.
